Have you googled your question ? You should...and ever subsequent question that arises after you've done some reading on what a motherboard is...

The basic info is, a motherboard is, as its name implies, the "mother" of your computer, it is the board which all the other boards depend on. Specifically, the motherboard is the one that holds the basic "in/out" system that your computer is built on, it is the board that the CPU is connected to, the memory, and all the drives and other devices.

How do you know you need a new motherboard ? While not impossible, it is less likely when you have a failure to be a motherboard, and more likely to be memory, or a hard drive, sometimes even a cpu if heat is an issue in your system. Power supplies are known to fail more regularly than motherboards too...
